Ludiom Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) govern access to and use of the Ludiom platform (“Ludiom,” “we,” “our,” or “us”).
By creating an organization, creating an account, accessing the platform, or using any Ludiom service, you agree to these Terms.
If you are accepting these Terms on behalf of an organization, school, theatre, church, business, nonprofit, or other entity, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Ludiom provides tools for:
- video access management
- viewer management
- organization branding
- content organization
- access codes
- purchases and entitlements
- secure content distribution
- related organizational video services
Ludiom is primarily an access management platform. Video hosting may be provided directly by Ludiom or through third-party providers.
3. Accounts
Users are responsible for maintaining control of the email addresses associated with their accounts.
Ludiom currently authenticates users through email-based login links. Access to an account may require access to the associated email account.
You are responsible for all activity occurring under your account.
4. Organization Responsibilities
Organizations are solely responsible for:
- content uploaded or distributed through Ludiom
- viewer permissions they assign
- compliance with applicable laws
- maintaining appropriate rights and licenses
Organizations represent and warrant that they possess all necessary rights, permissions, licenses, and authorizations required to distribute content through Ludiom.
5. Content Ownership
Organizations and content owners retain ownership of their content.
Ludiom does not claim ownership of uploaded videos, images, metadata, branding assets, or other content submitted to the platform.
You grant Ludiom a limited license to store, process, display, and distribute content solely for the purpose of operating the platform.
6. Copyright Compliance
Organizations are responsible for ensuring they possess all rights necessary to distribute content.
Ludiom may remove, disable access to, or restrict content when we reasonably believe:
- copyright infringement may have occurred
- content violates applicable law
- content violates these Terms
- continued distribution may create legal risk
7. Prohibited Uses
You may not use Ludiom to:
- violate laws or regulations
- infringe intellectual property rights
- distribute malware or malicious software
- interfere with platform operations
- gain unauthorized access to accounts or systems
- distribute unlawful, fraudulent, or deceptive content
Ludiom may suspend or terminate accounts that violate these restrictions.
8. Third-Party Services
Ludiom may integrate with third-party services including:
- Vimeo
- YouTube
- Stripe
- Resend
- Cloudflare
- Vercel
- Neon
- other service providers
Availability of third-party services is outside Ludiom's control.
Ludiom is not responsible for interruptions, outages, policy changes, or service limitations caused by third-party providers.
9. Payments and Commerce
Certain features may involve payments, purchases, subscriptions, transaction fees, or other commerce functionality.
Organizations are responsible for understanding and complying with applicable tax, accounting, and legal obligations related to transactions conducted through the platform.

10. Service Availability
Ludiom is provided on an “as available” basis.
We do not guarantee uninterrupted access, continuous availability, or error-free operation.
Maintenance, upgrades, outages, and third-party service interruptions may affect availability.
11. Termination
Ludiom may suspend or terminate access when:
- these Terms are violated
- unlawful activity is suspected
- platform security is at risk
- continued access creates operational or legal risk
Organizations may discontinue use of the platform at any time.
12. Limitation of Liability
To the maximum extent permitted by law, Ludiom and its operators shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the platform.
Total liability shall not exceed amounts paid to Ludiom by the affected organization during the twelve months preceding the claim.
13. Changes to Terms
Ludiom may update these Terms from time to time.
Material changes may require renewed acceptance before continued use of certain services.
